1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the Humaie Platform, website, and related services (“Services”) provided by Humaie Pty Ltd (“Humaie”, “we”, “us”, or “our”).
By accessing or using the Humaie Platform or our website, you agree to comply with these Terms. If you do not agree, you must not access or use the Services.
These Terms operate in conjunction with our Privacy Policy which describes how we collect, use, and protect personal information.
2. Use of the Services
2.1 Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our Services. If you are using the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
2.2 Account Registration
To access certain features, you may be required to create an account. You are responsible for:
Maintaining the confidentiality of your account credentials; and
All activity that occurs under your account.
You agree to notify us immediately of any unauthorised use or security breach.
2.3 Acceptable Use
You agree not to:
Use the Services for unlawful, fraudulent, or harmful activities.
Interfere with or disrupt the integrity or performance of the Humaie Platform.
Reverse-engineer, decompile, or attempt to extract source code.
Upload malicious code, viruses, or harmful data.
Use the Services to generate or distribute unlawful, misleading, or defamatory content.
We reserve the right to suspend or terminate access for any breach of these Terms.
3. Intellectual Property
All intellectual property rights in the Humaie Platform, website, and associated materials are owned or licensed by Humaie Pty Ltd.
You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes. You may not reproduce, modify, distribute, or exploit any part of the Services without prior written consent from Humaie.
Any feedback or suggestions you provide may be used by Humaie without obligation or compensation.
4. Payment and Subscription
If you subscribe to paid services or plans, you agree to:
Pay all applicable fees as outlined at the time of purchase.
Provide accurate billing and payment information.
All fees are in Australian dollars (AUD) and exclusive of applicable taxes unless otherwise stated.
4.1 Renewal and Cancellation
Subscriptions automatically renew unless cancelled before the renewal date. You can cancel via your account settings or by contacting billing@humaie.com.
4.2 Refunds
Except as required by Australian Consumer Law, payments are non-refundable.
5. Third-Party Services
The Humaie Platform may integrate or interoperate with third-party services (e.g. cloud providers, AI models, or APIs).
Humaie is not responsible for the availability, accuracy, or content of third-party services. Your use of those services may be subject to separate terms and policies.
6. Data and Privacy
Your use of the Services is governed by our Privacy Policy, which forms part of these Terms.
You agree that Humaie may process data (including personal information) as necessary to provide and improve the Services, comply with legal obligations, and support analytics or usage monitoring in accordance with our Privacy Policy.
7. Availability and Maintenance
Humaie aims to ensure high availability of the Platform but does not guarantee uninterrupted or error-free operation.
We may suspend access temporarily for maintenance, upgrades, or security reasons. We will endeavour to provide reasonable notice where practicable.
8. Limitation of Liability
To the maximum extent permitted by law:
Humaie is not liable for any indirect, incidental, or consequential damages arising from your use of the Services.
Our total liability for any claim shall not exceed the amount paid by you (if any) for the Services during the 12 months preceding the claim.
Nothing in these Terms excludes any rights or remedies you may have under the Australian Consumer Law (ACL) that cannot be lawfully excluded.
9. Termination
You may terminate your account at any time. Humaie may suspend or terminate your access if:
You breach these Terms;
Your use poses a security risk or could cause harm; or
We are required to do so by law or regulatory order.
Upon termination, your access will cease immediately, and we may delete your account data in accordance with our Data Retention policy.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
11. Amendments
Humaie may modify these Terms from time to time to reflect changes in law, technology, or our business operations. Updates will be posted on our website with the “Effective Date” revised accordingly.
Your continued use of the Services after any update constitutes acceptance of the revised Terms.
